Arbrea Tools USER Service Agreement
This USER Service Agreement (“Agreement”) is entered into between Arbrea Tools (“Service Provider”) and the User (“User”) who subscribes to the services provided by Service Provider through its Software as a Service (“SaaS”) platform (“Services”). User acknowledges and agrees that they have read and understood the terms and conditions of this Agreement, and they are legally bound by this Agreement.
Subscription Term: User subscribes to the Services for a minimum of 12 months or 365 days, starting from the first onboarding training session. The subscription will automatically renew for another 12 months unless either party provides written notice of non-renewal at least 30 days before the end of the subscription term. The User accepts the present agreement during the payment process, even if monthly payments. A link has been sent from Arbrea Labs to the User to confirm the conditions.
Payment and Fees: User shall pay the fees in advance for the entire 12-month subscription period or on a monthly basis. If User pays monthly, the minimum term of the Agreement is still 12 months or 365 days. User agrees to pay all applicable taxes, and Service Provider may suspend User’s access to the Services for failure to pay the fees.
Cancellation and Refunds: User may cancel its subscription within 30 days from the first payment date, in which case User will be reimbursed fully, except for the first month. After the first 30 days, User may not cancel its subscription before the end of the subscription term.
User Obligations: User shall use the Services only for its internal business purposes and shall not use the Services for any illegal or unauthorized purpose. User shall not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services.
Service Level Agreement: Service Provider shall use commercially reasonable efforts to make the Services available to User 24 hours a day, 7 days a week, except for scheduled maintenance and emergency maintenance. If Service Provider fails to meet the service level agreement, User’s exclusive remedy shall be a credit against future fees for the affected Services.
Confidentiality: Both parties shall maintain the confidentiality of the other party’s confidential information and shall not disclose such information to any third party, except as required by law.
Termination: Either party may terminate this Agreement if the other party breaches any material provision of this Agreement, and such breach remains uncured for 30 days after written notice of such breach.
Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Service Provider is located. Any dispute arising out of or in connection with this Agreement shall be resolved by the courts of that jurisdiction.
Entire Agreement: This Agreement represents the entire agreement between Service Provider and User and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral. No amendment or modification to this Agreement shall be binding unless in writing and signed by both parties.
